Terms

Last updated October 23, 2026

Uptime & Spend is a trade name of MIKES FBA LLC, a Wyoming limited liability company. These terms cover use of this website. Project work is governed by a Master Services Agreement (MSA), signed once, plus a one-page Statement of Work (SOW) per job. If anything here conflicts with a signed MSA or SOW, the signed document wins.

1. The website

Content here is general information, not professional advice for your specific systems. Examples, demos and calculators are illustrative and labeled as such. They are not quotes or promises.

2. How project work is agreed

  • Every engagement starts with a paid Launch Risk Diagnostic or a written scope.
  • Each SOW states scope, exclusions, a fixed price, timeline and liability cap.
  • Projects are paid 50% up front and 50% at handover. The diagnostic is paid in full up front.
  • Intellectual property in the work transfers to you on final payment.

3. Refunds

Before work starts, you get a full refund. After work starts, you pay only for work already performed and the rest of your deposit comes back. If the job turns out bigger than the package, I stop and re-quote before doing more.

4. No guarantees of savings or security

Cost work identifies and implements savings, but the amount depends on your systems and usage, so specific savings aren't guaranteed. Security and rescue work reduces risk but doesn't guarantee that a breach or outage can't happen. AI-generated code can change after handover, especially when a builder regenerates it. You remain responsible for keeping your own backups.

5. Limitation of liability

To the maximum extent permitted by law, total liability for any engagement is capped at the fees you paid under that SOW, and neither party is liable for indirect, incidental, special or consequential damages, including lost profits or data.

6. Work I decline

  • Apps that process payments or store card data
  • Apps that handle health data
  • Pharma or life-sciences clients
  • Anything I can't get written authorization to review

7. Security testing policy

I only review or test apps whose owner authorizes it in writing. That authorization is captured in the intake form and confirmed in the SOW. I don't test third-party systems, run load or denial-of-service tests, or access data beyond what the agreed work needs. If I find a serious issue, I report it to you privately and promptly.

8. Communications

I communicate by email and scheduled calls. I don't run an SMS or text-message program.

9. Governing law

These terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law rules.
